These Terms and Conditions （"Terms"） govern your use, access or participation in promotions, advertisements, sweepstakes, surveys, or other offerings of online services, social networking services （SNS）, software, platforms, tools or applications provided by or operated by Sony Group Corporation on behalf of itself and/or its affiliates and subsidiaries （"Sony", "we", "us", or "our"） that post a link to these Terms, whether accessed via computer, mobile device or other technology （collectively, the "Offerings"）. By accessing or participating in any Offering in any manner, you agree to the then posted Terms, to be bound by them, and that you have read and understood them. You also acknowledge, agree and consent to our Privacy Policy, which is hereby incorporated into these Terms （"Privacy Policy"）. If at any time you do not accept these Terms, your sole recourse is to stop using, accessing and participating in the Offerings.
The Offerings may be subject to additional terms. To the extent there is a conflict between these Terms and the additional terms, these Terms will control unless the additional terms expressly state otherwise.
The Offerings disseminate information about Sony and Sony's affiliates in order to communicate with visitors and make them more familiar with Sony and Sony's affiliates' products, services, events, news and general corporate updates. It is Sony's policy to operate its Offerings in furtherance of Sony's Purpose and Values and in accordance with the laws, policies and commitments that apply.
The information shared by or posted on the Offerings by Sony or its employees may not represent Sony's official announcements or views. For Sony's official announcements and views, please refer to Sony's corporate website or News Releases.
The websites, properties, offerings and services of affiliated Sony companies, including some that are linked to/from the Offerings, may have different terms and conditions and other policies; therefore, please review the terms and conditions and other policies on those websites or properties if you visit them.
These Terms affect your legal rights. They govern your rights and responsibilities in connection with, and apply to, the Offerings, and when you access, browse, or use the Offerings, you accept, without limitation or qualification, these Terms, as set forth herein and below and, you agree to be bound by these Terms without limitation or qualification. You agree to abide by all local, state, federal, and international laws and regulations applicable to your use of the Offerings.
Sony reserves the right, in its sole discretion, to make changes to these Terms, without notice and without liability. Changes to these Terms will be effective when posted. You agree to review these Terms periodically to become aware of any such changes. Your use of the Offerings after Sony posts any changes to these Terms will be considered your acceptance of those changes and will constitute your agreement to be bound thereby. If you do not agree with any changes or modifications to these Terms, you must immediately stop using, accessing, and participating in the Offerings. You confirm your acceptance of any modifications or updates by continuing to use the Offerings.
The Offerings are only for your personal use. You may not distribute, exchange, modify, sell or transmit anything you copy from the Offerings, including but not limited to any text, images, audio and video, for any business, commercial, or public purpose. You agree not to interrupt or attempt to interrupt the operation of the Offerings in any way.
All materials, information and content on the Offerings, including but not limited to any and all images, software, text, video, audio, scripts, graphics, pictures, sounds, photographs, music, videos, interactive features and the like, and the trademarks, logos and service marks contained on the Offerings (collectively, the "Content"), is owned (or licensed) by Sony, ,and is subject to and protected by copyright and intellectual property laws of applicable jurisdictions (including, but not limited to, Japan and U.S.) and international conventions (collectively, "IP Laws"). Sony reserves all rights with respect to such Content, and you may not, and shall not allow any third party to use any Content or copy, modify, reproduce, republish, post, transmit, sell, license, create derivative works from, reverse engineer, reverse assemble, distribute or use any Content in any way except as explicitly specified herein or with Sony's prior written permission, and in such case, only in accordance with such written permission. By making the Content available on the Offerings, Sony is not granting you any license to utilize the proprietary Content, including without limitation, the logos, service marks, trademarks and graphics. Sony is simply granting you permission to use the Offerings and their Content for your own personal use. In the event that you download or print a copy of any Content for personal use, you must retain all copyright and other proprietary notices contained therein. You may not use any meta tags or other hidden text utilizing Sony's name or Content without the express written consent of Sony. Any unauthorized use of the Content may violate IP Laws, the laws of privacy and publicity, and civil and criminal statutes.
Use of the Offerings may allow you to post, display, create, publish, transmit, upload, broadcast, mail or otherwise make available or submit text, videos, pictures, notes, drawings, comments, messages, artwork, graphics, photos, sounds, information and other statements through or in connection with the Offerings, including in response to pages, posts, promotions, surveys, sweepstakes, or contests (collectively "submit") on external social networks and similar third-party websites such as Facebook, X (formerly Twitter), TikTok, YouTube and Instagram (collectively, "User Submissions"). You represent that any User Submission you submit does not and will not violate any law or infringe the rights of any third party, including, without limitation, any intellectual property rights, publicity rights, or rights of privacy. When you access, use or participate in the Offerings, Sony has no obligation to post or store any posts or information, including but not limited to User Submissions, and Sony reserves the right, in its sole discretion, to block, delete, mute, hide or take other measures, without notifying you. In addition, if your User Submissions, in Sony's sole discretion, are deemed malicious or likely to violate or conflict with these Terms, applicable laws, or terms of use of any social media platforms or other platforms related to the Offerings, Sony may report them to platform providers and/or relevant authorities or public agencies.
A. License. Except as otherwise described in additional terms, including official rules of a sweepstakes or promotion, you hereby grant Sony a non-exclusive, irrevocable, perpetual, worldwide, unlimited, unrestricted, unconditional, transferable and cost-free right and license to use, copy, record, distribute, reproduce, disclose, sell, re-sell, sublicense (through multiple levels), display, publicly perform, transmit, publish, broadcast, translate, make derivative works of, and otherwise use and exploit in any manner whatsoever, all or any portion of your User Submission (and derivative works thereof), for any purpose whatsoever in all formats, on or through any means or medium now known or hereafter developed, and with any technology or devices now known or hereafter developed, and to advertise, market and promote the same. Without limitation, the granted rights include the right to: (i) configure, host, index, cache, archive, store, digitize, compress, optimize, modify, reformat, edit, adapt, publish in searchable format, and remove such User Submission and combine same with other materials; and (ii) use any ideas, concepts, know-how, or techniques contained in any User Submission for any purposes whatsoever, including developing, producing, and marketing products and/or services. You understand that in exercising such rights, metadata, notices and content may be removed or altered, including copyright management information, and you consent thereto and represent and warrant you have all necessary authority to do so. In order to further effect the rights and license that you grant to Sony to your User Submission, you also hereby grant to Sony, and agree to grant to Sony, the unconditional, perpetual, irrevocable right to use and exploit your name, persona, and likeness in connection with any User Submission, without any obligation or remuneration to you. Except as prohibited by law, you hereby waive, and you agree to waive, any moral rights (including attribution and integrity) that you may have in any User Submission, even if it is altered or changed in a manner not agreeable to you. To the extent not waivable, you irrevocably agree not to exercise such rights (if any) in a manner that interferes with any exercise of the granted rights. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section or under these Terms.
Sony is not responsible or liable for any User Submission provided by you on the Offerings or any third-party sites. Except to the extent of the rights and license granted in these Terms, you are responsible for and retain whatever legally cognizable right, title and interest you have in your User Submission. Sony's receipt of your User Submission is not an admission of their novelty, priority, or originality, and does not impair Sony's right to contest existing or future intellectual property rights related to your User Submission.
B. Representations and Warranties.
C. Sony's Exclusive Rights. Sony may, but will not have any obligation to, review, monitor, display, post, store, maintain, accept, or otherwise make use of, any of your User Submission, and Sony may, in its sole discretion, block, reject, delete, move, re-format, remove or refuse to post or otherwise make use of User Submissions without notice or any liability to you or any third party in connection with our operation of User Submission venues in an appropriate manner. Without limitation, Sony may do so to address content that comes to our attention that we believe is offensive, obscene, lewd, lascivious, filthy, violent, harassing, threatening, abusive, illegal or otherwise objectionable or inappropriate, or to enforce the rights of third parties or these Terms. Such User Submission submitted by you or others need not be maintained on the Offerings by us for any period of time, and you will not have the right, once submitted, to access, archive, maintain, change, remove, or otherwise use such User Submission on the Offerings or elsewhere. Sony has no obligation to monitor or enforce your intellectual property rights to your User Submission, but you grant us the right to protect and enforce our rights to your User Submission, including initiating actions in your name and on your behalf (at Sony's cost and expense, to which you hereby consent and irrevocably appoint Sony as your attorney-in-fact, with the power of substitution and delegation, which appointment is coupled with an interest).
D. Privacy. When you provide User Submission through participation on third-party websites, through which you allow us to collect (or the third party to share) information about you, including personal information, you may be opting to link your activity on the Offerings with that third party, which may then collect information about your visits to the Offerings and may publish that activity to your "profile" or similar feature with that third party. The information we collect is subject to these Terms and the Privacy Policy. However, the information collected and stored by the third party remains subject to that third-party's privacy practices, including whether the third party continues to share information with us or with other third parties, the types of information shared, and your choices regarding what is visible to others on that third-party's property. The third party may allow you to remove an application or feature, in which case we will no longer collect information about you through the application or feature.
Except as otherwise described in the Privacy Policy, you agree that your User Submission is not confidential and not proprietary, and Sony does not assume any obligation of any kind to you or any third party with respect to your User Submission. Upon request, you will provide documentation necessary to authenticate rights to such content and verify your compliance with these Terms and any applicable terms. Any User Submission you submit is submitted at your own risk.
If you identify content or material posted on the Offerings that you believe is infringing that you would like removed from Sony's Offerings, or if you are a user whose work has been removed in response to such a notice of infringement, you may contact Sony's Copyright Manager by applicable account directly and include the following:

The Offerings may contain links to other internet websites. Sony provides such links for your convenience only and is not responsible for the content of any website linked to or from the Offerings. Links from the Offerings to any other website do not mean that Sony approves of, endorses, or recommends that website. Sony disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity of any content on any other website.
You may be subject to additional terms and conditions that may apply when you obtain or use any third-party services, including but not limited to third-party content, third-party software or goods and services provided by or through third parties. The Offerings may contain third-party plug-ins, applications, ads, tools and/or other content, and/or links to third-party websites or other services that are not owned, controlled or operated by Sony, including services operated by advertisers, licensors, licensees, and certain other third parties who may have business relationships with Sony (collectively, "Third-Party Services"). We may also host our content, apps, and tools on Third-Party Services. Sony has no control over the content, operations, policies, terms, or other elements of Third-Party Services, and does not assume any obligation to review them. Sony does not necessarily review, endorse, approve, or sponsor any Third-Party Services, or any third-party content, advertising, information, materials, products, services, or other items. Furthermore, Sony is not responsible for the quality or delivery of the products or services offered, accessed, obtained by or advertised at such Third-Party Services. Sony WILL UNDER NO CIRCUMSTANCES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR SPECIAL LOSS, OR OTHER DAMAGE, WHETHER ARISING FROM NEGLIGENCE, BREACH OF CONTRACT, DEFAMATION, INFRINGEMENT OF COPYRIGHT, OR OTHER INTELLECTUAL PROPERTY RIGHTS, CAUSED BY THE EXHIBITION, DISTRIBUTION, OR EXPLOITATION OF ANY INFORMATION OR CONTENT CONTAINED WITHIN THESE THIRD-PARTY SERVICES. Any activities you engage in connection with Third-Party Services are subject to that Third-Party Services' privacy policy and terms of use which you should read before engaging in such activities. Any interactions, correspondence, transactions, or dealings you have with any third parties found on or through the Offerings (including on or via Third-Party Services or advertisements) are solely between you and the third party (including issues related to the content of third-party advertisements, payments, delivery of goods, warranties (including product warranties), privacy and data security, and the like). Sony disclaims all liability in connection therewith.
Sony may add to, change, or remove any part of these Terms at any time, without notice, in its sole discretion. Any changes to these Terms or any terms posted on the Offerings apply as soon as they are posted. By continuing to use the Offerings after any changes are posted, you are indicating your acceptance of those changes. Sony may, in its sole discretion, add, change, discontinue, remove, or suspend any other Content posted on the Offerings, including features and specifications of products described or depicted on the Offerings, temporarily or permanently, at any time, without notice and without liability. You are responsible for regularly reviewing these Terms, and your continued use of the Offerings following any changes indicates your acceptance of those changes. You can reject any new, revised or additional terms by discontinuing use of the Offerings. Sony reserves the right, in its sole discretion and without notice, to suspend your access to all or part of the Offerings for any conduct that Sony, in its sole discretion, believes is in violation of any applicable law or these Terms, or is harmful to the interests of another user, third party, a merchant, a sponsor, a licensor, a service provider, or Sony, without advance notice or liability. Upon suspension or termination of your access to the Offerings, or upon notice from Sony, all rights granted to you under these Terms will cease immediately, and you agree that you will immediately discontinue use of the Offerings.
You agree to release, indemnify, defend and hold harmless Sony and its parents, subsidiaries, affiliates, related entities and each of its and their respective officers, directors, employees, agents, vendors, licensors, suppliers, third-party providers or other partners, from and against any and all claims, losses, costs (including court costs), fees (including attorney's fees and costs), damages, investigations, liabilities, judgments, fines, penalties, settlements, interest and expenses that such parties may directly or indirectly incur as a result of, due to, or arising out of (i) your User Submission; (ii) your use of the Offerings and your activities in connection with the Offerings; (iii) your breach or alleged breach of these Terms or any of the warranties, representations, covenants, responsibilities or other obligations set forth in herein; (iv) any misrepresentations made by you; (v) your violation of any applicable laws, rules, regulations, codes, statutes, ordinances or orders of courts or any governmental or quasi-governmental authorities in connection with your use of the Offerings or your activities in connection with the Offerings; (vi) information or material transmitted by you in connection with the Offerings that infringes, violates, or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy, or other right of any person or entity; or (vii) Sony's use of the information you submit to us, including any User Submission (the foregoing, collectively "Claims and Losses"). You will cooperate as fully required by Sony in the defense of any Claims and Losses. Sony's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
Notwithstanding the foregoing, Sony reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Sony in asserting any available defenses, and you shall not in any event settle any matter without the prior written consent of an authorized representative of Sony. This Section 9 remains in full force and effect notwithstanding any termination of your use of the Offerings.
YOU EXPRESSLY AGREE THAT YOUR USE OF THE OFFERINGS IS AT YOUR OWN RISK. THE OFFERINGS (INCLUDING ALL CONTENT AND FUNCTIONS MADE AVAILABLE ON OR ACCESSED THROUGH THE OFFERINGS) ARE PROVIDED "AS IS" "WITH ALL FAULTS" AND ON AN "AS AVAILABLE" BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. SONY AND ITS AFFILIATES EXPRESSLY DISCLAIM AND SONY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, WHETHER EXPRESS OR IMPLIED (I) THAT THE SERVERS THAT MAKE THE OFFERINGS AVAILABLE ARE FREE OF VIRUSES OR OTHER COMPONENTS THAT MAY INFECT, HARM, OR CAUSE DAMAGE TO YOUR COMPUTER EQUIPMENT OR ANY OTHER PROPERTY WHEN YOU ACCESS, BROWSE, DOWNLOAD FROM, OR OTHERWISE USE THE OFFERINGS; AND (II) REGARDING THE ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY OR NON-INFRINGEMENT, OF ANY CONTENT PUBLISHED ON OR AVAILABLE THROUGH THE OFFERINGS. TO THE EXTENT THAT SONY MAY NOT, AS A MATTER OF APPLICABLE LAW, DISCLAIM ANY IMPLIED WARRANTY, THE SCOPE AND DURATION OF SUCH WARRANTY SHALL BE THE MINIMUM PERMITTED UNDER SUCH APPLICABLE LAW.
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO SONY'S OR ANY OF ITS PARENTS', SUBSIDIARIES' OR AFFILIATES' NEGLIGENCE, SHALL SONY, ITS PARENTS, ITS SUBSIDIARIES, ITS AFFILIATES, OR ANY OF ITS AND THEIR OFFICERS, DIRECTORS, STOCKHOLDERS, EMPLOYEES, AGENTS OR OTHER THIRD-PARTY PROVIDERS BE HELD LIABLE TO YOU OR ANYONE ELSE UNDER ANY THEORY OF LIABILITY FOR ANY DAMAGES, LOSSES, LIABILITIES, OBLIGATIONS, OR COSTS, WHETHER DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY ARISING OUT OF, RESULTING FROM OR IN CONNECTION WITH ANY ASPECT OF (I) THE OFFERINGS; (II) THESE TERMS; OR (III) USER SUBMISSION.
The foregoing limitation of liability also includes, but is not limited to, and Sony, its parents, its subsidiaries and its affiliates are not responsible for, even if Sony or an authorized representative thereof has been advised of the possibility of damages, any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from or related to the Offerings, User Submission or your access to or use of the Offerings; (iii) unauthorized access to or use of Sony's servers and/or any and all personal information stored therein; (iv) interruption or cessation of transmission to or from the Offerings; (v) bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Offerings (or any parts thereof); (vi) loss or damage of any kind incurred as a result of the use by of the Offerings or any content made available on or by means of the Offerings; (vii) defamatory, offensive, or illegal conduct of any Offerings' users or third party; and/ or (viii) failure, interruption or unavailability of mechanical or electronic equipment or network servers or communication lines, miscommunications, theft, operator errors, strike or other labor problems, incorrect or inaccurate bidding information, or any force majeure howsoever caused or other error of any kind whether human, mechanical or electronic. Sony cannot and does not guarantee continuous, uninterrupted or secure access to the Offerings.
The foregoing paragraphs will apply even if any of the events or circumstances were foreseeable and even if Sony was advised of or should have known of the possibility of such losses or damages, regardless of whether you bring an action based in contract, negligence, strict liability, or tort (including whether caused, in whole or in part, by negligence, acts of god, telecommunications failure, or destruction of the Offerings).
A. Controlling Law; Lawsuits. These Terms shall be governed by and construed according to the laws of Japan as applied to agreements made, entered into and performed entirely in Japan. You agree that any disputes or legal proceedings arising out of or related to the Offerings shall be brought in Tokyo District Court, Japan, and shall be handled individually without any class action. You also agree that notwithstanding any statute or law to the contrary, any claim or cause of action arising out of, or related to, the use of the Offerings or these Terms must be filed within one (1) year after the claim or cause of action arose or be forever barred. THE PARTIES SHALL NOT RAISE IN CONNECTION THEREWITH, AND HEREBY WAIVE ANY DEFENSES BASED UPON THE VENUE, THE INCONVENIENCE OF THE FORUM, THE LACK OF PERSONAL JURISDICTION, THE SUFFICIENCY OF SERVICE OF PROCESS OR THE LIKE IN ANY SUCH ACTION OR SUIT.
B. Court Orders and Subpoenas. Sony will comply with all court orders and subpoenas and cooperate with investigations by local, state and federal agencies. Under these circumstances, your use of the Offerings may be shared with others with or without your knowledge or consent.
C. Complete Agreement/Invalidity & Severability. These Terms posted on the Offerings constitute the complete, final and exclusive understanding and agreement between you and Sony relating to the subject matter hereof and your use of the Offerings, superseding all prior or contemporaneous understandings, agreements, communications, and / or advertising with respect to such subject matter. If for any reason any provision of these Terms are held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, and all other provisions shall remain in full force and effect. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms.
D. No Waiver. Sony's failure to insist upon strict performance of any provision(s) of these Terms or to exercise or enforce any right or provision of these Terms shall not constitute a waiver of its right or remedies or of the provision.
E. Assignment. Sony may assign its rights and delegate its duties under these Terms to any party at any time without notice to you. The rights and licenses granted hereunder may not be assigned or transferred by you, and any attempted assignment or transfer in violation hereof shall be null and void.
F. Notice. You agree that we may give you notices or otherwise respond to you by mail or to your email (if we have it on file) or in any other manner reasonably elected by us. G. Headings. All headings in these Terms are for convenience only and have no legal effect.
H. Consent or Approval. No Sony consent or approval may be deemed to have been granted by Sony without being in writing and signed by an officer of Sony. Any provision in these Terms that grants Sony a right of consent or approval, or permits Sony to exercise a right in its "sole discretion" Sony may exercise that right in its sole and absolute discretion.
I. Availability of Service. Sony controls and operates the Offerings from Japan, and makes no representation that the Offerings is appropriate or available beyond Japan. If you use the Offerings from other locations, you are doing so on your own initiative and responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply.
J. Investigations; Cooperation with Law Enforcement. Sony reserves the right, without any limitation, to: (i) investigate any suspected breaches of its Offerings' security or its information technology or other systems or networks; (ii) investigate any suspected breaches of these Terms; (iii) investigate any information obtained by Sony in accordance with its Privacy Policy in connection with reviewing law enforcement databases or complying with criminal laws; (iv) involve and cooperate with law enforcement authorities in investigating any of the foregoing matters; (v) prosecute violators of these Terms; and (vi) discontinue the Offerings, in whole or in part, or, suspend or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party. Any such suspension or termination will not affect your obligations to Sony under these Terms.
K. Survival. The provisions of these Terms and any applicable additional terms, which by their nature should survive your suspension or termination will survive, including the rights and licenses you grant to Sony in these Terms, as well as the indemnities, releases, disclaimers, and limitations on liability and the provisions regarding jurisdiction, choice of law, no class action, and jury trial waiver.
